Global headquarters and the French subsidiary: who decides in sensitive situations?

In an international group, a sensitive situation crosses several organizations at the same time. The headquarters carries the coherence of the group; the subsidiary knows the local facts, the contacts and French constraints. The right question is not just who approves a release. We must determine who establishes the facts, who makes each decision, who can act without delay and who must be informed. Precise delegation reduces the risk of prolonged silence and contradictory messages.

Break down the decision instead of centralizing all the work

The expression “validation of headquarters” can cover very different realities: control of the facts, legal qualification, strategic arbitration, choice of spokesperson or simple information. When mixed up, each recipient believes they have veto power and no one knows which approval is actually missing.

The group should establish a matrix by topic type. An immediate protection instruction does not necessarily follow the same circuit as a financial announcement, a political position or an explanation of a service incident. Legal and operational managers determine applicable obligations and authorities. Communication makes this device usable under pressure conditions.

The subsidiary must be able to report the facts in a stable format: event, time, people or activities affected, confirmed elements, actions taken, unknowns and requested decision. A report focused on reputation without a precise description of the facts deprives the headquarters of the information necessary for its arbitration.

Define a local mandate and escalation thresholds

A useful local mandate describes the subjects, conditions and limits of autonomy. It can authorize the use of already validated facts, specify the processing of ordinary requests and provide a waiting response reviewed in advance. It must not suggest that a pre-approved text can be used when its assumptions are no longer true.

The escalation thresholds are linked to the possible consequences: harm to people, data exposure, business continuity, financial subject, social issue or extension to several countries. They trigger mobilization, not an automatic conclusion about severity. A substitute and an emergency channel are provided when the usual manager is unavailable.

Articulate the French calendar with that of the group

A global announcement may meet a specific social, institutional or operational calendar in France. The role of the CSE in decisions affecting the company must be examined with the relevant managers. Time zones create another difficulty. France and the United States, India or East Asia do not have the same working windows. The operational response consists of providing permanence proportionate to the risk, substitutes and documented conditional decisions. We avoid making a subsidiary dependent on validation which will only arrive after the main local deadline.

For a European headquarters, time proximity does not resolve all questions. Entities may have different responsibilities, different employee representatives and different institutional relationships. Governance must be built on the real scope of the project, not on the impression that two markets are similar.

Adapt messages without changing the facts

The French adaptation must make the consequences understandable: number of sites concerned, continuity of service, contact person, known duration and questions still open. If a global figure does not answer a local question, the subsidiary must be able to say so. A global objective does not prove an achievement in France.

Translation requires careful attention to degrees of certainty. A project, a conditional commitment and a final decision must remain distinct. The financial, social and technical vocabulary is validated by the functions concerned. The language versions are identified by a common date and status in order to prevent an old formulation from continuing to circulate.

Test the system with a truly cross-border scenario

An exercise can simulate a request from a French journalist during the night at headquarters, followed by a question from a client and the circulation of a document on social networks. The test focuses on the speed of establishing the facts, access to the decision-maker, the consistency of the versions and the responses given to the people affected. This is not about rewarding the team that produces a press release the fastest.

The scenario must reveal new information that invalidates an initial hypothesis. We then check who removes the old answer, how the spokespersons are informed and how a correction is published if necessary. This review capability is often more useful than a circuit designed solely for one-time validation.

For an Indian business in France, first decide who can act locally while headquarters establishes the facts. Assign a French response owner, an Indian executive sponsor and backups for approvals across time zones. Maintain one incident record, distinguishing confirmed impact from investigation hypotheses. For personal data breaches, the CNIL differentiates documentation, regulator notification and information for affected individuals according to the risk. The communication workflow should support the duties established by specialists, with French-language customer support and consistent headquarters briefings.
