Shareholder activism: preparing your reputation strategy and public response

A shareholder campaign tests a company’s ability to explain its choices. It can relate to strategy, capital allocation, governance or social and environmental commitments. Preparing the communication involves examining the arguments, documenting the responses and organizing the dialogue. Treating all criticism as an undifferentiated attack often prevents us from understanding what can convince other shareholders.

Understand the request before qualifying its author

The first analysis distinguishes the identity and exposure of the shareholder, the requests expressed, the evidence and the timetable sought. An open letter, a resolution, a reasoned report and a media position do not fulfill the same function. We must understand what change is requested and what decision this change should lead to.

The team analyzes each proposal according to a common grid: verifiable assertion, economic hypothesis, strategy disagreement or governance judgment. This avoids responding with a general communication to a specific criticism. A correct observation must be able to be recognized, even when management disputes the conclusion drawn from it.

The unit brings together investor relations, financial management, legal, communications and relevant governance representatives. The roles of the board, president and manager are clarified. A response on operational performance and a response on board composition do not necessarily have the same owner.

Build a response that other shareholders can evaluate

The useful audience goes beyond the author of the campaign. Existing investors, potential investors, proxy advisors, employees and certain partners will compare the arguments. For each person, it is necessary to identify the questions likely to modify their judgment. Communication thought of as a duel risks neglecting these interlocutors.

The response begins with a common documentary base: announced strategy, investment decisions, published results, board commitments and recognized limits. For each argument, a sheet specifies the source, scope, period and the person responsible for verifying the data. Exact figures but calculated on different perimeters can lead to confusion.

A fictitious example: a shareholder requests the sale of an activity that he considers to be insufficiently profitable. The answer is not reduced to defending diversification. It sets out the value creation criteria retained, the industrial dependencies, the necessary investments and the hypotheses which could lead to re-examining the portfolio. This example describes one method; it does not attribute any position to an actual company.

Organize the dialogue without creating selective information

The AMF emphasizes the importance of dialogue between issuers and shareholders in its doctrine on activism. In practice, listening must be coordinated with the communication rules applicable to the transmitter. A meeting does not allow the free sharing of non-public information likely to affect the market. The teams therefore prepare a scope of discussion, documents consistent with the publications and a process for raising new questions. The report distinguishes between the facts presented, the requests received and the promised follow-up. We do not transform an exploratory conversation into board engagement.

The schedule of meetings and the methods of communication to shareholders must be checked at the time of preparation. The AMF has flagged new rules applicable in 2026. An old procedure sheet is therefore not enough to organize a current sequence. [1] (FR)

Linking financial responses to their human consequences

Employees can read a proposed sale, cost reduction or change in governance as an announcement of transformation. Managers need to explain the status of the proposal, the decisions actually taken and the authorized contacts. The fact that a shareholder requests a measure does not mean that the company has decided on it.

This distinction must remain visible in all media. Partners want to know if contracts, projects and responsibilities are changing. Journalists seek to understand the disagreement and its consequences. The same basis of facts can answer these questions from appropriate angles, without producing incompatible versions.

Prepare escalation scenarios and evolution conditions

Preparation includes several possible events: publication of a report, new request, media relay, meeting or change of position of a significant shareholder. For each scenario, the unit specifies the decision-maker, the supports, the validation deadlines and the criteria for speaking out. The existence of a scenario does not mean that it will occur.

A credible strategy leaves room for evolution. If an argument reveals a real weakness, the board and management can decide on a clarification or change. Communication should explain the reasoning, limitations, and next steps. Presenting any development as an absolute victory or capitulation impoverishes the understanding of the decisions.

The evaluation of the system concerns the quality of the responses, the consistency of the documents, the questions resolved and the decisions made possible. The performance of the title cannot be attributed simply to one message. India–France–Europe: make financial technology accountability explicit

Indian technology companies serving European financial institutions should distinguish supplier and regulated-customer responsibilities. Document the legal entities, service locations, subcontracting dependencies and incident contacts before announcing the relationship. ESMA’s DORA guidance distinguishes ICT providers designated as critical from suppliers generally; working for a bank alone does not establish that designation. Communications should accurately reflect the supplier’s status and the commitments contained in the actual contract. Customers need delivery evidence, distinguishing tested or independently assessed arrangements.

Illustrative scenario: an Indian software company supports a French financial institution’s customer portal. The announcement identifies the service delivered and avoids suggesting that the supplier holds the bank’s authorisations. Prepare consistent answers about escalation, continuity and support across the Indian delivery centre and French account team. During an interruption, distinguish known customer effects from unresolved technical questions and use an agreed update schedule. Afterward, track corrective actions with named owners. A credible resilience account rests on these operating arrangements; a broad promise of uninterrupted service would go beyond what the evidence can support.
