Analyse the request before labelling the campaign
Identify the shareholder’s stated position, proposals, supporting material and intended decision timetable. An open letter, a resolution and a research report have different functions. Separate verifiable claims from economic assumptions, strategic disagreement and governance judgements. A valid observation should be recognised even where management disputes the conclusion.
Bring together investor relations, finance, legal, communication and the relevant governance representatives. Clarify the respective roles of the chair, board and executive team. A statement about operating performance and an answer about board composition may need different decision owners.
Address the audience beyond the activist
Other shareholders, potential investors, proxy advisers, employees and business partners will compare the arguments. Identify the question each audience needs answered. Treating the issue only as a public contest with the campaign’s author can obscure the people whose understanding matters to the next decision.
Prepare a common evidence base: announced strategy, published results, investment decisions, board commitments and acknowledged limitations. Each important figure needs a period, definition, scope and source. Apparently conflicting numbers may use different boundaries. Explain those differences instead of selecting only the measure that supports management’s preferred account.
Consider a fictional request to sell an underperforming business. A useful response could explain value-creation criteria, industrial dependencies, investment needs and the circumstances that would trigger a portfolio review. This is an illustration of a method, not an account of a real campaign or a claim about a client.
Organise dialogue within disclosure rules
The AMF’s guidance on shareholder activism emphasises issuer–shareholder dialogue. In practice, engagement must remain consistent with the applicable information framework. A private meeting does not give unrestricted permission to disclose non-public, market-sensitive information.
Prepare the permissible discussion scope, materials and process for questions requiring further review. The record should distinguish facts presented, requests received and follow-up commitments. An exploratory conversation must not be represented as an undertaking by the board.
Verify the current meeting and shareholder-communication procedures. The AMF highlighted changes applicable in 2026. Teams should not organise a current sequence solely from an older procedure sheet or assume practices are identical across listing jurisdictions.
Explain operational consequences without announcing decisions prematurely
Employees may interpret a proposal for asset disposals or cost reductions as an imminent restructuring. Managers should distinguish a shareholder demand from a company decision and know where to send questions. Customer and partner teams need the same discipline when discussing ongoing projects and responsibilities.

Plan escalation and preserve the ability to change
Prepare for a new report, additional demand, public meeting or change in a significant shareholder’s position. For each scenario, identify the decision owner, channels and approval process. Scenario planning does not predict that every event will occur.
If a criticism reveals a genuine weakness, leadership may decide to clarify or change its approach. Explain the reasoning and consequences without reducing every development to victory or defeat. Evaluate response quality and decision usefulness; a share-price movement cannot simply be attributed to a message. CEO advisory and financial-sector communication should support this evidence-led discipline alongside legal and financial advisers.
